At Nutshell we want to help to guide and empower you. If you are planning to join a Nutshell Course, Programme, Workshops or Class (“Services”) then you must read these terms and conditions in full prior to purchasing.
Services Terms: Key Details
The terms cannot be varied and in proceeding to purchase Services you will be deemed to have accepted these terms. The terms and conditions set out below apply to the Services offered by Nutshell. Please read them carefully as they affect your rights and liabilities under law and set out the terms under which Nutshell (“we”, “our” or “us”) provide Services to you, as a purchaser. These terms are subject to any rights you have under consumer law to which we are bound and which cannot be waived by contract.
Services Outline
We offer a number of different Services, each one is for entrepreneurs and business owners who want to learn how to learn a specific aspect of advertising, marketing, or business growth. Further details of our Services can be found on our website.
The support and guidance given includes information which has been tested and used across a range of different businesses.

Service Specifics
Specific details about each Service will be on the Website. There are usually a combination or selection of the following elements, these will vary from Service to Service.

i) Recorded Videos & ii) Live Sessions (where included)
Any videos, live or recorded, will be led by Julie Sealey and/or Sophie Cameron. There may also be expert coaches and consultants who are specialists in different areas of online businesses depending on the Service. This information will be included on the Website where relevant.
All recorded videos will be accessible via a personal login which will be emailed to you following purchase. These videos are available for you to self study. Each Service is hosted on a platform ‘Searchie’ which is accessible through a browser or app, both require an internet connection.
For best results you should work through the workbooks and audio or video material in your own time. Failure to complete the self-study materials may limit your ability to learn from the information and guidance shared in any live sessions (if included).
Any Live sessions will take place, either directly in the private Facebook Group (if provided) or via Zoom (or another similar video conferencing platform) for approximately 1 hour unless you are otherwise advised. You will be notified about the times of live video sessions via email and in the private Facebook Group if available. For any live sessions, it is your responsibility to ensure you have any required links prior to the live session or utilise or attend any Session. Unused, missed or expired bonuses cannot be refunded, exchanged or returned. There will be no alternative or replacement times offered for any group sessions if you are unable to attend for any reason.
Where a one-to-one session is offered, you agree to provide at least 72 hours’ notice, otherwise you will forfeit the right to that session. Sessions will not be carried over. if we are waiting for you to attend a session for more than 15 minutes, we reserve the right to treat you as a no show and you will forfeit your right to the session.
iii) Workbooks (where included)
Workbooks will be provided as PDFs, and occasionally as Google Docs. Workbooks are designed to compliment and assist your learning from any recorded or live sessions. For best results you should work through the workbooks and audio or video material in your own time. Failure to complete the self-study materials may limit your ability to learn from the tips and guidance shared in any live sessions (if included).
iv) Bonuses
Any included bonuses will be clearly detailed Website. Bonuses are subject to availability and limitations as detailed. Where these are available they will be either available as part of the Service, accessible on Searchie or you will be contacted about them separately via email. For any live session bonuses, it is your responsibility to ensure you have any required links prior to the live session or utilise or attend any Session. Unused, missed or expired bonuses cannot be refunded, exchanged or returned. There will be no alternative or replacement times offered for any group sessions if you are unable to attend for any reason.
v) Private Facebook Group (where included)
You may have access to a private Facebook Group to support you during the Service. Details will be available on the Website where relevant. Where a Facebook Group is available, the intention is to provide community support and a network of individuals at a similar stage of business and who are facing similar challenges.
Nutshell may post and offer support in the Facebook Group but there is no guarantee that posts will be responded to immediately or that any Facebook mailboxes will be monitored.
Please be advised that whilst we hope that you will be able to utilise the Facebook group, we make no guarantees as to the availability of the group and/or the content within the group at any time.
Behaviour
It is requested that at all times your behaviour towards others is polite and respectful. We will not be held responsible for the behaviour or actions of any other members. Should your behaviour be deemed offensive or inappropriate we reserve the right to remove you from Services and/or the Facebook Group with immediate effect.
Disclaimers
The aim of the Services is to provide you with knowledge, information and understanding to improve your marketing, to attract customers and to grow and scale your business. As a business owner your business is individual and personal to you and whilst the strategies and techniques which we provide are tested, we make no guarantees to the end results achieved by any business or individual.Your success is dependent on factors which are outside of our control.
All information provided will be general information and guidance and will not be bespoke advice. We are not responsible for any action or inaction which you take as a result of the information within the Service. We are not responsible for any loss of opportunity or any investments which you make.
No content in this membership should be construed as medical advice, whether mental or physical. If you believe that you require medical attention you should seek assistance from a medical professional immediately.
We ask that all individuals respect the rights of others in respect of their behaviour and privacy. We will not be responsible for the action of any individuals including for any disclosures made by any members based on information which has been shared within the Service provision.
Contact and Schedule
It is the intention that the Services will run continuously and that any training material, recorded and live sessions, workbooks and bonuses will be provided as set out above. Should an unforeseen reason arise which cause a session(s) to be postponed they will be re-arranged as soon as possible.
We will be available by email Monday to Friday between 9am-4pm via julie@nutshellservices.co.uk and sophie@nutshellservcies.co.uk and will respond as soon as possible and within 48 hours during the hours stated.
If you have a technical query relating to accessing the Services please include “Tech” in the subject line of your email correspondence.
Payment Terms
Where to find the price for the product. The price of the product (which excludes VAT) will be the price indicated on the order pages when you placed your order through the website. Where a Service has the option of a specific number of split payments, or monthly subscription you will be liable and responsible for paying the set number of payments until the full Fee is paid or monthly payment each month until you cancel in accordance with these Terms. Cleared payment must be received before you are entitled to access any Service.
When you must pay and how you must pay. We accept payment with debit and credit cards. When purchasing either digital content or services, you must pay for the products at the time of ordering them.
Where a payment subsequently fails or is rejected, but you have received access to a Service, you agree to provide full payment within 7 days of access being provided. If your payment is beyond 30 days overdue, we shall be entitled to issue proceedings for collection and recovery of the outstanding amount, including our reasonable costs incurred in taking such action. We reserve the right to withhold delivery of the Service until the full payment is made.
We reserve the right to change our Service Fees at any time. Any changes will not affect the price of Services where payment has already been made and a confirmation email sent.
Fees are set based on the availability of the Service as detailed on the Website and is not based on your actual usage or attendance. Usage and attendance is your own responsibility. You will not be entitled to any credit, or deduction or refund due to non-attendance or lack usage of the Services on your part.
Privacy and Confidentiality
Your privacy and protection of your personal data is important to us. Your personal data is protected as set out in our privacy policy which can be found https://www.nutshellservices.co.uk/privacy-policy
We will also utilise Searchie to manage our communications with you.
During the course of your Service you may have access to confidential information, in particular the personal affairs of others on the Service. In accepting these terms, you agree that you will not use or disclose to any person, organisation or company, and shall use your best endeavours to prevent the publication of, any confidential information relating to any other member.
You accept that any unauthorised disclosure of personal or confidential information belonging to another may amount to immediate dismissal from the Service. Should you decide to leave the Service then you remain bound by the confidentiality and privacy obligations.
Cancellation
You can contact us to cancel your purchase within 14 days of purchase during the ‘cooling off period’, however if you chose to access your Service before the 14 day cooling off period has ended you waive this right with immediate effect. On the Searchie platform we can see when a Service has been accessed by an individual or account, if you contact us to cancel this will be monitored before any response is given to your request.
Refunds
There is no obligation on us to refund any amounts paid where cancellation requests are made outside of the 14 day cancellation period or after the Service has been utilised, whichever applies.
We reserve all rights to cancel the programme for any reason without prior notice. In such circumstances a refund will be provided.
Statutory refund rights in respect of defective products apply. Should you have any questions about your purchase we will be happy to assist.
Intellectual Property
During your time as a student you will be provided with Service materials and information for your own personal use. At all times the intellectual property rights, trademarks and copyrights connected with those materials remain with us. You have the right to use the materials as learning tools but you are not permitted to duplicate or provide or share copies to third parties for free or for profit.
We take the protection of our Intellectual Property very seriously. In the event of any breach of our Intellectual Property Rights, we shall be entitled to seek relief, including injunctive relief, against you. These provisions remain in force after the Service has been completed and where termination is applied.
Complaints
If you have a complaint about the programme this should be made to made in writing to julie@nutshellservices.co.uk or sophie@nutshellservices.co.uk
OTHER IMPORTANT TERMS
I may transfer this agreement to someone else. I may transfer my rights and obligations under these terms to another organisation. I will always tell you in writing if this happens and I will ensure that the transfer will not affect your rights under the contract.
You need my consent to transfer your rights to someone else. You may only transfer your rights or your obligations under these terms to another person if I agree to this in writing.
Nobody else has any rights under this contract. This contract is between you and us. No other person shall have any rights to enforce any of its terms. Neither of us will need to get the agreement of any other person in order to end the contract or make any changes to these terms.
If a court finds part of this contract illegal, the rest will continue in force. Each of the paragraphs of these terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.
Even if I delay in enforcing this contract, I can still enforce it later. If I do not insist immediately that you do anything you are required to do under these terms, or if I delay in taking steps against you in respect of your breaking this contract, that will not mean that you do not have to do those things and it will not prevent me taking steps against you at a later date. For example, if you miss a payment and I do not chase you but I continue to provide the products, I can still require you to make the payment at a later date.
Which laws apply to this contract and where you may bring legal proceedings. These terms are governed by English law and you can bring legal proceedings in respect of the products in the English courts.
